•  Representation of Grupo Casa Lumbre and its current shareholders in a capital investment made by different Mexican and foreign investors in an amount up to USD$75,000,000 through the acquisition of a significant minority equity participation in a holding company. Casa Lumbre is a leading company in the spirits industry and the funds contributed to the holding company will be used by Grupo Casa Lumbre as investment in different spirits beverage projects and companies.
• Representation of Casa Lumbre, through Mezcal Contraluz, S.A.P.I. de C.V., in its partnership with Backlit Investments Corp., in which Juan Luis Londoño Arias (alias Maluma) is involved, for the distribution and marketing of a Mezcal spirit, through a newly established Mexican subsidiary Contraluz Cristalino, S.A.P.I. de C.V.
• Representation of one of the key SOFOMs in Mexico and its existing shareholders (including an exit by a private equity fund) in the acquisition of the 70% of the SOFOMS's capital stock by a foreign buyer.
• Representation of Casa Lumbre, through one of its affiliates, in a joint venture with artist Leonard Albert Kravitz (through its entity Sugar Apple LLC) for the distribution and commercialization of a Sotol Spirit.
• Representation of Casa Lumbre, through one of its affiliates, in the acquisition by Pernod Ricard, through one of its affiliates, of a 20% equity participation in Sotol Nocheluna LLC.
• Representation of Casa Lumbre, through one of its affiliates, in a joint venture with Mexican actor Diego Boneta (through its entity Lights Out Media, Inc.) for the distribution and commercialization, through a special purpose vehicle, of a Tequila spirit.
• Representation of Casa Lumbre, through one of its affiliates, in a joint venture with Dark Opps, Inc. for the distribution and commercialization, through a special purpose vehicle, of an Irish Whiskey.
• Advise Casa Lumbre and Destilería Teremana de Agave, a tequila producer, on the negotiation, drafting and closing of a profits interest award agreement, entered with Siete Bucks Ventures.
• Representation of DuBois Chemicals, Inc. and its affiliates in the equity and assets acquisition of Milacron LLC’s affiliates in Mexico. This transaction included equity and assets acquisition in Mexico, the US, Canada, and the Netherlands.
• Representation of Casa Montelobos, S.A.P.I. de C.V., Mezcal Montelobos® producer, and Licorera Ancho Reyes, S.A.P.I. de C.V., Ancho Reyes® chili liquor producer, in the sale of their 100% capital stock in two tranches to Campari, a major spirit brand owner and distributor.
• Representation of Mezcal Ojo de Tigre, S.A.P.I. de C.V. (“ODT”) and its existing shareholders (through a Mexican Control Trust incorporated for such purposes) in the acquisition by Pernod Ricard México, S.A. de C.V. (“PR”) of a 40% equity participation in ODT, through a capital increase and purchase of shares of the existing shareholders.
• Transaction counsel for From The People, PBC, in the formation of a joint venture to produce and distribute “FTP Vodka®”

• Represented NAFIN, Banco Sabadell and Sabcapital in a multi-currency project financing of a solar photovoltaic project in Aguascalientes, Mexico (Horus).
• Representation of Victory Park Capital in a US$30+ million structured finance transaction with Covalto.
• Representation of The Bank of Nova Scotia in a USD$35 million unsecured bilateral loan granted to Mexican steel producer Deacero.
• Representation of Scotiabank and Bancoppel in a MXN$400,000,000 syndicated unsecured loan granted to Cubo Capital, S.A. de C.V., for the acquisition of 49% of the outstanding shares of Grupo Consupago, S.A. de C.V.
• Representation of Scotiabank in a USD$25,000,000 secured bilateral loan granted to Ascenty México, S.A. de C.V.
• Representation of Scotiabank, as lender, in a MXN$400 million senior loan granted to MXT Tucan Towers, S.A.P.I. de C.V. The funds will be used for the acquisition by the borrower of telecommunication towers in Mexico.
• Representation of Scotiabank and Sabadell in a MXN$4 billion senior credit facility to Mexico Tower Partners, for the prepayment of a certain credit agreement and a certain issuance of certificados bursátiles.

• Representation of BAS, a Spanish Sponsor, in connection with the development and construction phases of a win farm in Zacatecas, Mexico (Cerritos). Cerritos is an equity-financed, self-supply generation project (autoabastecimiento).
• Representation of BAS in the negotiation, execution, and delivery of four power purchase agreements with different clients.
• Representation of Mezcales Artesanales Casa Lumbre, S.A.P.I. de C.V. in the negotiation and execution of certain agreements for the agave supply, production and bottling of Del Maguey Single Village Mezcal products, including a non-possessory pledge agreement over agave to secure the agave supply and production
• Representation of Mezcales Artesanales Casa Lumbre, S.A.P.I. de C.V. in the elaboration and negotiation of an Option Agreement and other ancillary documents for the construction, operation, and sale of a Mezcal production facility for the Del Maguey Brand in Atlixco, Puebla, Mexico.
• Representation of Casa Lumbre, S.A.P.I. de C.V. and Destilería Teremana de Agave in the negotiation and execution of a supplies procurement agreement and a production agreement for the procurement and production of Teremana Tequila products.
• Representation of Casa Lumbre, S.A.P.I. de C.V. and Destilería Teremana, S.A. de C.V., a tequila producer, on the negotiation, drafting and closing of an agave supply agreement with Productos Finos de Agave, S.A. de C.V., to produce the “Tequila Teremana®” brand.
• Representation of Destilería Teremana de Agave in the negotiation and execution of an agave supply agreement with Rimaje, an agave plant producer.
